This document has been prepared under Turkish Consumer Protection Law No. 6502 and the Turkish Distance Contracts Regulation to inform the Buyer before the purchase and to set out the terms of the agreement between the parties. 1.2 Buyer

The natural or legal person whose name or trade name, address, email, phone and billing details were provided when registering with exa or during the purchase. The Buyer’s details appear in the order summary and on the invoice.

2. Definitions

  • Service: the cloud accounting and e-invoicing software offered by the Seller over the internet under the name exa.
  • Subscription: the right to use the Service for the package and period (monthly or yearly) chosen by the Buyer.
  • Platform: examuhasebe.com and app.examuhasebe.com.
  • Order summary: the screen at the payment step showing the package, period and total price; it is an integral part of this agreement.

3. Subject of the Agreement

This agreement sets out the rights and obligations of the parties regarding the sale and performance of the software subscription that the Buyer purchases electronically on the Platform, with the features and price described below.

4. Main Features and Price of the Service

  • The Service is the right to use cloud accounting and e-invoicing software over the internet. The scope of each package is shown on the Pricing page.
  • The name of the purchased package, its period and the total price including VAT are shown in the order summary before payment. Prices are listed in Turkish lira (₺) excluding VAT; VAT is added at the payment step and the total to be paid is shown before you pay.
  • There are no additional costs such as shipping. Add-on usage packages such as e-document credits are purchased separately, and their price is shown at the time of purchase.
  • The price and package rights are fixed when the subscription is purchased. If the Seller later changes a plan’s price or content, the Buyer’s existing subscription continues unchanged unless the Buyer chooses to change plan.
  • Plans that include gift e-document credits give them every month after a successful payment (not during the free trial). Unused gift credits end when access ends; credits purchased separately never expire and are not affected.

5. Payment

  • Payment is accepted only by credit or debit card through the iyzico secure payment infrastructure. Visa, Mastercard, American Express and Troy cards are accepted.
  • Card details are not stored on the Seller’s servers. For automatic payments, the card is kept in iyzico’s secure card storage infrastructure.
  • A card is required at signup. The first subscription starts with a 14-day free trial; nothing is charged during the trial, and if the Buyer cancels before the trial ends the Buyer is never charged. If not cancelled, the first charge is made automatically when the trial ends; its date and amount are shown to the Buyer before the payment details are confirmed.

6. Delivery (Performance) Method and Time

  • The Service is delivered electronically; there is no physical delivery.
  • The Buyer’s account and the package features are available as soon as the subscription starts (at the start of the free trial for a first subscription).
  • An e-invoice or e-archive invoice is issued for each payment and sent to the Buyer’s registered email address.

7. Subscription Period, Renewal and Price Changes

  • Monthly plan: the fee is charged every month and the subscription renews automatically each month. Yearly plan: one annual fee is charged upfront and the subscription renews automatically each year. The Buyer can cancel at any time to stop future charges.
  • Price or content changes made by the Seller do not affect a Buyer’s existing subscription (see section 4).
  • If a payment fails, the Buyer keeps full access for 7 more days to update the card. After that the account becomes read-only (data stays viewable and exportable). If an account never made a payment and the free trial has ended, it is locked except for the subscription page and the data backup download.

8. Right of Withdrawal

Performance of the Service begins digitally as soon as the subscription starts. The right of withdrawal for digital services whose performance has begun, under the Turkish Distance Contracts Regulation, is handled in the way described in section 9 below. By approving this agreement, the Buyer confirms having been informed of this before the purchase.

Where the Buyer acts as a merchant, Law No. 6502 and the Distance Contracts Regulation do not apply.

9. Cancellation and Refunds

  • The Buyer can cancel the subscription at any time from the subscription page in the application or by writing to info@examuhasebe.com. No further charges are made after cancellation; the Buyer can keep using the Service until the end of the paid period.
  • If the Buyer cancels within 14 days after the first successful charge, the unused part of that payment is refunded pro rata. Only one refundable cancellation is available per company. Gift e-document credits already used are deducted from the refund at the lowest current unit price of a credit top-up.
  • Renewal payments are not refundable. Charges made by mistake (for example, the same subscription charged more than once) are refunded in full for the excess amount, and the full amount is refunded if payment was received but the subscription could not be activated for a reason attributable to the Seller.
  • Refunds are made to the card used for payment. Details are on the Delivery and Refunds page.

10. End of the Agreement and Data

  • The agreement ends at the end of the period in which the subscription was cancelled.
  • All data entered into the Service belongs to the Buyer. If the Buyer requests it during cancellation, the data is exported and delivered to the Buyer.
  • In case of a breach of the Terms of Use, the Seller may restrict access under the conditions set out there.

11. Obligations of the Parties

  • The Seller provides the Service with reasonable care within the announced scope. Temporary interruptions may occur due to maintenance, security, technical failures or third-party services.
  • The Buyer must provide accurate information, keep login details secure and use the Service in line with the law.
  • The Terms of Use, the Privacy Policy and the KVKK Information Notice are annexes to this agreement.

12. Complaints and Disputes

Requests and complaints can be sent to info@examuhasebe.com.

Consumers may apply to the Consumer Arbitration Committee or the Consumer Court at their place of residence or where the transaction took place, within the monetary limits announced each year by the Turkish Ministry of Trade. For Buyers acting as merchants, the courts and enforcement offices where the Seller’s head office is located have jurisdiction.

13. Entry into Force and Records

This agreement enters into force when the Buyer approves it electronically at the payment step. After approval, the agreement is sent to the Buyer’s registered email address, and the Seller keeps a record of the approval.
